Terms of Service

These Terms of Service ("Terms") govern your use of datastacktech.com and any services provided by Datastack LLC ("Datastack," "we," "us," or "our"). By using our Site or purchasing our services, you agree to these Terms.

1. Services

Datastack provides software development services, including web application development, mobile application development, AI agent integration and deployment, and ongoing maintenance and support plans. The specific scope, deliverables, timeline, and fees for each project are described in a written proposal, statement of work, or invoice ("Agreement") provided to the client.

2. Quotes and payment

• Unless otherwise stated, project work is billed 50% upon acceptance of the Agreement and 50% upon delivery.
• Subscriptions, including maintenance plans and subscriptions to software products built by Datastack, are billed in advance on a recurring basis until cancelled. Pricing for each product is shown at the point of purchase.
• All payments are processed securely through Stripe. All fees are in U.S. dollars and exclude applicable taxes.
• Late payments may result in paused work or suspended services.

3. Client responsibilities

Clients agree to provide timely feedback, content, credentials, and approvals needed to complete the work. Delays in providing these may affect timelines.

4. Intellectual property

Upon receipt of full payment, the client owns the custom code and deliverables created specifically for them under the Agreement. Datastack retains ownership of its pre-existing tools, libraries, and know-how, and grants the client a perpetual, non-exclusive license to use any such items incorporated into the deliverables. Third-party and open-source components remain subject to their own licenses.

5. Third-party services and AI

Our work may rely on third-party services such as cloud hosting providers, app stores, and AI model providers. We are not responsible for the availability, pricing changes, or policies of those third parties. AI-generated outputs can be imperfect, and clients are responsible for reviewing how AI features are used in their business.

6. Confidentiality

Each party agrees to keep the other party's non-public business information confidential and to use it only for the purposes of the engagement.

7. Warranties and disclaimer

We will perform services in a professional and workmanlike manner. We will fix defects reported within 30 days of delivery at no additional cost. Except as expressly stated, the Site and services are provided "as is" without warranties of any kind, express or implied.

8. Limitation of liability

To the maximum extent permitted by law, Datastack's total liability arising from any engagement will not exceed the amount paid by the client to Datastack for the services giving rise to the claim. Datastack will not be liable for indirect, incidental, special, or consequential damages, including lost profits or data.

9. Refunds and cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy.

10. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Illinois.

11. Changes

We may update these Terms from time to time. Continued use of our Site or services after changes are posted constitutes acceptance of the updated Terms.
